Without prejudice to the foregoing sacrosanct provisions, every user agrees that arigo.ng has the right to provide special services using its website ,in which case it shall be the responsiblity of arigo.ng to verify products/services advertised on its platform so as to ascertain its authenticity ,and to ensure that end users do not part with funds until the product/services are recieved and also that the merchants/service providers are paid upon successful delivery of the goods/services. In all such cases, arigo.ng shall be entitled to 10 percent service charge for such services rendered and the users will be required and prompted to fill a form for that purpose detailing the transaction. OR We will give you written notice of any revision of these terms and conditions, and the revised terms and conditions will apply to the use of our website from the date that we give you such notice; if you do not agree to the revised terms and conditions, you must stop using our website.

If you have given your express agreement to these terms and conditions, we will ask for your express agreement to any revision of these terms and conditions; and if you do not give your express agreement to the revised terms and conditions within such period as we may specify, we will disable or delete your account on the website, and you must stop using the website.

19. Independent Contractors

The Parties hereby enter into this Agreement as independent contractors, and this Agreement will not be construed to create a partnership, joint venture, or employment relationship between them. Neither Party will represent itself to be an employee of the other or enter into any agreement or legally binding commitment or statement on the other’s behalf or in the other’s name.

20. Assignment

You hereby agree that we may assign, transfer, sub-contract or otherwise deal with our rights and/or obligations under these terms and conditions.

You may not without our prior written consent assign, transfer, sub-contract or otherwise deal with any of your rights and/or obligations under these terms and conditions.

21. Severability

If a provision of these terms and conditions is determined by any court or other competent authority to be unlawful and/or unenforceable, the other provisions will continue in effect.

If any unlawful and/or unenforceable provision of these terms and conditions would be lawful or enforceable if part of it were deleted, that part will be deemed to be deleted, and the rest of the provision will continue in effect.

22. Third party rights

A contract under these terms and conditions is for our benefit and your benefit, and is not intended to benefit or be enforceable by any third party.

The exercise of the parties' rights under a contract under these terms and conditions is not subject to the consent of any third party.

23. Force Majeure

The Parties agree that there shall attach no liability for any inability to carry out any obligations under this Agreement if is attributable to an event of force majeure including but not limited to systems downtime, server failure, civil commotion, strikes or lock outs, war, flood, insurrection and other acts of God.

24. Entire Agreement

The Terms and Conditions and Privacy Policy as provided herein by Arigo.ng including but not limited to other guiding policies for Arigo.ng constitute the entire agreement between the parties with respect to the subject matter hereof.

In the event that Arigo.ng or you decide to waive any breach or default hereunder, the waiver will not suffice for any preceding or subsequent breach or default.

The failure of either party to exercise any of its rights under this Agreement shall not be deemed a waiver or forfeiture of such rights or any other rights provided here under.

The failure of Arigo.ng to insist immediately upon the strict compliance and or performance of any of the terms and conditions herein breached shall not constitute a waiver of the right, or constitute acquiescence therein and the same shall not affect or impair the later exercise of such right or be presumed to vary this terms and conditions in any manner whatsoever.

25. Governing Law and jurisdiction

This Terms and Conditions and the legal relationship between the parties hereto shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

In the event of any dispute or disagreement, both parties agree to first of all attempt to settle the matter amicably, if the matter cannot be settled within 30 days both parties agree to settle the dispute by adopting an Alternative Dispute Resolution medium i.e. Mediation. These shall be filed in accordance with the provisions of the Lagos State Multi Door Court House. Both Parties agree that the hearing(s) shall be held in the City of Lagos. Each Party shall be responsible for its own mediation fees.
